Terms and Conditions for Subscription Plans (Supplementary to Main T&C)

1. Introduction

Purpose: This document outlines the terms and conditions applicable to the subscription plans offered by Kayanthalai Fashion for purchasing sarees.

Acceptance of Terms: By subscribing to any of the plans (quarterly, half-yearly, annual), the customer agrees to be bound by these terms and conditions.

 

2. Subscription Plans and Fees

Plan Details: Kayanthalai Fashion offers three subscription plans for purchasing sarees: quarterly, half-yearly, and annual. Each plan provides a predetermined number of sarees delivered on a set schedule. Additional perks may include exclusive designs available only to subscribers and first access to new collections.

Payment Terms: Payments for subscriptions are due on the last day of the committed plans: quarterly plans are billed every 3 months, half-yearly plans every 6 months, and annual plans every 12 months. Kayanthalai Fashion accepts payments via credit and/or debit cards. In the event of a failed payment, the subscription will terminate pending renewal of the plan.

Renewal and Cancellation Policy: Subscriptions will automatically renew at the end of each period until a cancellation request is sent to admin@kayanthalai.com or the customer cancels the subscription themselves through the “My Account” section at www.kayanthalai.com. There are no cancellation fees. Customers must cancel their subscription before the billing period to avoid being charged for the next period. Upon cancellation, customers must cease using any promotional codes issued during their subscription.

 

3. Delivery of Goods

Delivery Schedule: Sarees will be delivered within the first week once the order is confirmed for the selected sarees. This ensures timely delivery while allowing for processing time after the order placement.

Shipping Policies: Kayanthalai Fashion is not liable for lost, stolen, or damaged goods during shipping, but will address customer concerns on a case-by-case basis. This policy helps manage expectations and clarifies the extent of liability while emphasizing customer support.

Return and Exchange Policy: No returns and exchanges are allowed. However, customers are encouraged to contact admin@kayanthalai.com with any concerns, which can be addressed on a case-by-case basis. This policy ensures clarity regarding returns while providing a channel for addressing any potential issues post-purchase.

 

4. Account Registration and Management

Account Setup: When creating an account on www.kayanthalai.com, customers are required to provide accurate and complete information. This information will form the basis of your relationship with Kayanthalai Fashion and is crucial for ensuring that you can fully enjoy your subscription benefits. 5. Usage Restrictions

Prohibited Activities: Subscribers are prohibited from reselling, redistributing, or otherwise using the sarees purchased through Kayanthalai Fashion subscriptions for commercial purposes without prior written consent from Kayanthalai Fashion. Additionally, sharing or transferring subscriptions outside the subscriber’s household is strictly forbidden.

 

6. Intellectual Property

Ownership and Rights: All materials provided as part of the subscription plans by Kayanthalai Fashion, including but not limited to designs of sarees, images, trademarks, logos, and branding elements featured on www.kayanthalai.com, are the exclusive property of Kayanthalai Fashion and/or Kayanthalai and/or Kayanthalai. These materials are protected by intellectual property laws both in Malaysia and internationally.

License to Use: Kayanthalai Fashion grants subscribers a limited, non-exclusive, non-transferable, revocable license to use the materials provided as part of the subscription for personal, non-commercial purposes only. This means subscribers may not use any of these materials for commercial purposes, such as reselling the sarees, reproducing or distributing the designs, or using the brand’s trademarks (Kayanthalai) without prior written permission from Kayanthalai Fashion.

 

Prohibitions: Subscribers are expressly prohibited from:

• Modifying, distributing, or creating derivative works based on the materials provided, including designs and branding elements.
• Using the trademarks or logos of Kayanthalai Fashion (Kayanthalai / Kayanthalai.com) for any purpose without express written permission.
• Engaging in any activity that may be considered fraudulent, illegal, or in violation of the rights of Kayanthalai Fashion or any third party.

Protection and Enforcement: Kayanthalai Fashion and/or Kayanthalai and/or Kayanthalai.com actively monitors the use of its intellectual property and will enforce its rights to the fullest extent of the law, including seeking civil remedies and criminal prosecution for infringement where applicable.

 

7. Termination of Subscription

By the Company: Kayanthalai Fashion reserves the right to terminate a subscription at its discretion should the subscriber breach these terms and conditions, engage in illegal activities, or fail to make payments as required.

By the Customer: Customers may terminate their subscriptions at any time by sending an email to admin@kayanthalai.com or by cancelling directly through the “My Account” section on www.kayanthalai.com. A notice period of 14 days is reasonably expected to process the cancellation effectively. Customers must cancel their subscription at least 14 days before the next billing period to avoid charges for the subsequent period.

 

8. Liability and Indemnification

Limitation of Liability: Kayanthalai Fashion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Indemnification: You agree to defend, indemnify, and hold harmless Kayanthalai Fashion and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the service.

Exceptions to Liability: Notwithstanding the above, nothing in these Terms shall exclude or limit liability for losses that may not be lawfully excluded or limited by applicable law. Therefore, some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to every subscriber.

Governing Law: The Terms and Conditions of Kayanthalai Fashion, including all subscription agreements, are governed by and construed in accordance with the laws of Malaysia. This ensures that both the business and the subscribers are aware of the legal framework that applies to their agreement.

Dispute Resolution Mechanism: In the event of a dispute, Kayanthalai Fashion is committed to resolving issues in a fair and efficient manner. We encourage customers to first contact our support team as many disputes can be resolved informally. If a resolution cannot be reached, the following formal mechanisms are available:

• Mediation: Before pursuing any further legal action, parties are required to attempt to resolve their dispute through mediation, which will be facilitated by an independent mediator in Malaysia. Mediation is a less formal method and is often quicker and less costly than other forms of dispute resolution.
• -Arbitration: If mediation does not resolve the dispute, it may be escalated to arbitration. The arbitration will be conducted in Malaysia under the rules of the Malaysian Arbitration Association. The decision of the arbitrator will be final and binding on both parties.
• Legal Action: If neither mediation nor arbitration resolves the dispute, parties may take legal action. All legal proceedings shall be held in competent courts located in Malaysia, and subscribers agree to the jurisdiction of these courts.

Notification of Dispute: Subscribers wishing to initiate a dispute resolution process must notify Kayanthalai Fashion in writing, providing details of the dispute and the proposed resolution, within 30 days of the issue arising.

 

10. Changes to Terms and Conditions

Modifications: Kayanthalai Fashion reserves the right to update or modify these Terms and Conditions at any time. Changes to the Terms and Conditions are necessary to accommodate changes in our service, the legal landscape, or business environment.
